The Assistant General Counsel, Corporate & Securities will serve as a corporate generalist, with expertise in securities law, M&A, corporate financing transactions, and general contract law. The successful candidate will have the opportunity to provide strategic direction and advice to senior management.
Duties/Responsibilities
SEC & Governance
- Offers expert legal advice on corporate and securities laws, and corporate governance matters; support and present to the Board and its committees as necessary.
- Ensures compliance with periodic SEC filings (10-K, 10-Q), and manage the preparation of 8-Ks, proxy statements, and NYSE listing requirements.
- Manages legal aspects of quarterly earnings, investor relations disclosures, and shareholder-related matters.
- Provides advice and counsel on public company obligations, public disclosures, and corporate governance.
- Offers legal support to Finance, Accounting, Equity Administration, Tax, Insurance, and Investor Relations teams.
- Assists with Board and Committee compliance with corporate documents, charters, and guidelines, and assist with preparing meeting agendas and materials.
M&A
- Advises management on M&A agreements and manage legal aspects of mergers, acquisitions, and divestitures, including due diligence, structuring, negotiation, documentation and post-merger integration.
- Collaborates with internal stakeholders and external advisors to ensure successful transactions and regulatory compliance.
- Drafts and negotiates transaction documents related to stock/asset purchases, letters of intent and confidentiality agreements.
Corporate Finance
- Provides legal support and counsel for complex financing transactions, including debt and equity offerings, and credit facilities.
Contracts
- Drafts, reviews and negotiates a wide variety of commercial contracts, including vendor/supplier, technology, data sharing, SaaS, employment, franchise, dealer/distributor, retail, marketing, letter of intent, non-disclosure, etc.
Leadership
- Offers legal advice to the CEO, General Counsel, senior executive management, and department heads.
- Delivers timely, effective, and business-sensitive legal services to achieve organizational goals.
- Builds and maintain relationships across all organizational levels, serving as a trusted advisor on legal matters.
- Supervises outside counsel as needed.
- Conducts business dealings with high ethical standards and adherence to legal requirements.
Performs other related duties to benefit the mission/vision of the organization
Education & Experience
- Juris Doctorate Degree and active State Bar Admission.
- 8+ years of experience as a corporate securities lawyer, either in-house at a public company, at a law firm, or a combination of both.
- Strong knowledge of NYSE/SEC compliance and corporate governance standards.
- Demonstrated legal expertise in M&A, securities law and corporate governance.
- Strong background in contract drafting and negotiation.
- Business-oriented approach to problem solving, tempered by an appreciation for legal complexity and risk.
- Exceptional verbal and written communication skills, with the ability to simplify complex ideas for diverse audiences.
- Proficiency in navigating a fast-paced, high-energy environment.
- Ability to self-direct, take initiative, and work independently.
- Effective multitasking and project management skills.
- Sound judgment in critical decision-making.
- Attention to detail and excellent organizational skills.
