Sr. Corporate Counsel

Discovery Education is searching for an attorney to join our in-house legal team as Sr. Corporate Counsel. In this role, you will be a key member of our legal team and will manage, draft, and negotiate complex agreements for Discovery Education’s K12 Sales team.

 

You will also serve as a trusted legal advisor on various areas of law, such as data privacy and mergers and acquisitions.

 

This role is crucial in driving our mission forward, ensuring our operations are legally sound, and positioning us for sustainable growth and success in the education technology sector.

 

This is a hybrid role in which you will report to our General Counsel.

 

About the Role

  • Prepare and negotiate high-level, complex agreements while providing legal advice and counsel to business units in areas that include software licensing, data security, privacy, and regulatory matters.
  • Perform legal research and analysis on commercial contracts and information technology law issues.
  • Provide legal advice and analysis to Discovery Education’s K12 sales team.
  • Improve and expand commercial operations of Discovery Education and assist with appropriate risk analysis.
  • Compliance with laws, regulations, and internal policies and initiatives.
  • Support or lead legally complex transactions.
  • Advise on other areas of law, depending on background and experience.

Requirements

  • At least 5+ years of experience drafting, reviewing, and negotiating complex, high-level commercial agreements either in-house or at a law firm such as software subscription agreements, consulting agreements and statements of work, and partner agreements for resellers.
  • Experience in other areas of law, such as data privacy and mergers and acquisitions is a plus.
  • Proven leadership capability and change agility are essential as is the ability to work effectively with lawyers and businesses across diverse geographies and cultures.
  • Applicants must have a Juris Doctor (JD) degree from an accredited U.S. law school, licensed to practice in one or more U.S. jurisdictions and be in good standing.
  • Excellent communication skills and the ability to build positive relationships at all levels and across business units.
  • Creative and practical problem-solving skills with a focus on achieving business objectives within acceptable risk tolerances.
  • The ability to work independently while following Legal department standard processes and collaborating effectively with the wider Legal team and organization.
  • The ability to work efficiently and with a sense of urgency, to prioritize tasks, and to meet deadlines in a fast-paced and changing environment.
  • Proficiency with Microsoft Office/Teams applications, and the ability to quickly learn and adapt work habits to new software and systems, including legal research, matter management, project management, and contract and legal operations platforms.
  • Legal right to work in the United States.
